Acceptance of Terms
Account creation within the System or the issuance of a deposit payment constitutes a full acceptance (acceptance of an offer). From this moment, all terms become legally binding for both parties.
This document constitutes a binding legal agreement. Registration in the iVy Web Panel confirms your full acceptance of these terms.
These Terms govern the relationship between the iVy Studio (the 'Contractor') and the user/client (the 'Client') regarding the use of the iVy Web Panel and software development services.
Account creation within the System or the issuance of a deposit payment constitutes a full acceptance (acceptance of an offer). From this moment, all terms become legally binding for both parties.
The Contractor reserves the right to modify these Terms. Continued use of the System following such changes constitutes the Client's agreement to the revised version.
All objects accessible via the iVy Web Panel—including design elements, source code, scripts, and architecture—are the exclusive property of the Contractor unless otherwise specified.
Exclusive rights to the developed software or design are transferred to the Client only upon 100% final payment and the formal signing of the Acceptance Certificate (or digital equivalent).
The Contractor retains a non-exclusive right to display project results (screenshots, case descriptions) in its professional portfolio, unless a separate restrictive NDA has been executed.
Services and System access are provided on an 'AS-IS' and 'AS-AVAILABLE' basis.
The Contractor shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, resulting from third-party service failures (hosting, APIs) or unauthorized modifications of the code by the Client.
The Contractor guarantees the rectification of bugs that deviate from the Technical Specifications (TS) if reported within 30 calendar days following the project delivery date.
Both parties agree to maintain strict confidentiality regarding business logic, financial terms, and technical trade secrets.
Any information transmitted via the iVy Web Panel is deemed confidential by default. The Contractor agrees not to disclose project architecture to third parties without prior written consent.
Upon the Client's request, a formal Non-Disclosure Agreement (NDA) may be signed, which shall supersede this section.
All disputes shall be settled through amicable negotiations. A formal written claim must be submitted before any legal action, with a mandatory 15-business-day response period. Jurisdiction shall be determined by the Contractor's place of operation unless otherwise mandated by law.
